Aethelis Ltd is an independent software technology provider. Aethelis Ltd is NOT an investment bank, a broker-dealer, a regulated financial intermediary, an asset manager, a fund manager (AIFM/UCITS), an exchange operator, a designated market maker, or a custodian. Aethelis Ltd does not provide clearing, counterparty, or custody services.

1.2 Lack of Financial Authority Licensing

Aethelis Ltd is not regulated or supervised by the Financial Conduct Authority (FCA) in the United Kingdom, the European Securities and Markets Authority (ESMA), the Commissione Nazionale per le Società e la Borsa (CONSOB), the Autorité des Marchés Financiers (AMF), or any equivalent statutory financial watchdog. The tools distributed do not fall under collective investment schemes or regulated investment services under MiFID II or MiCA.

2. Non-Custodial Architecture & External API Routing

Aethelis Quant operates strictly as a client-side and private daemon orchestration system. Aethelis Ltd does not hold, handle, take possession of, or settle user fiat, stablecoins, or cryptocurrencies.

User-Held Execution Keys: Order routing, position adjustments, and rebalancing parameters are dispatched solely via cryptographic API credentials (e.g., Bybit UTA, Interactive Brokers) generated and maintained exclusively by the User.
No Direct Withdrawal Powers: Users are contractually obligated to configure their API key permissions with execution and order-management capabilities only, strictly disabling withdrawal and account transfer privileges. Aethelis Ltd expressly disclaims all responsibility for misconfigured API credentials.
Counterparty Insolvency: Any assets allocated to external venues remain entirely subject to the operational solvency, margin mechanics, and regulatory status of the respective third-party exchange or liquidity provider.

3. Absolute Exclusion of Financial Advice & Solicitation

No content, metric, mathematical formula, telemetry data, execution log, Sharpe ratio, or delta-neutral model accessible via this website or documentation constitutes:

Financial advice, personalized investment advice, legal counsel, tax guidance, or risk management recommendations;
An offer, solicitation, or public invitation to purchase, subscribe to, or underwrite any security, financial derivative, structured product, or digital asset;
A guarantee, commitment, or warranty that any trading strategy will achieve capital appreciation or avoid catastrophic drawdown.

The analytics provided across Aethelis Quant are delivered exclusively for research, operational automation, and informational engineering purposes. The deployment of live algorithmic desks is conducted strictly at the sole discretion and independent financial risk of the User.

4. Hypothetical Performance & Backtesting Limitations

Hypothetical, synthetic, backtested, or simulated execution profiles contain structural limitations. Unlike actual market performance:

Simulated results do not reflect the complete impact of live execution slippage, latency queues, order-book book-depth exhaustion, or funding-rate basis dislocation;
Past mathematical performance, historical forward-walk tests, and backtested Sharpe/Sortino ratios are non-binding indicators and provide no reliable representation or assurance of future operational yields;
Market regimes are non-stationary; systemic macroeconomic shocks, regulatory sanctions, or flash-crash depegging events can immediately invalidate algorithmic risk assumptions.

5. Disclaimer of Warranties ("AS IS") & Limitation of Liability

The software, documentation, APIs, and associated web interfaces are provided strictly on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, statutory, or implied, including but not limited to the implied warranties of merchantability, title, fitness for a particular quantitative purpose, or non-infringement.

Under no circumstances shall Aethelis Ltd, its directors, officers, employees, system architects, software contributors, or affiliates be held liable in contract, tort (including negligence), strict liability, or equity for:

Any direct, indirect, consequential, punitive, exemplary, or incidental capital losses, liquidation events, or balance depreciations;
Any loss of anticipated yield, lost data, server outages, cloud infrastructure termination, or network degradation;
Failures, downtime, rate-limiting, or breaking protocol changes executed by third-party exchanges, WebSocket feeds, or data providers;
Delays, execution drift, or dropped orders arising from internet packet loss, clock desynchronization, or hardware anomalies.

6. Restricted Jurisdictions & Regulatory Exclusions

The platform and its associated trade orchestration capabilities are strictly prohibited from being accessed, used, or targeted toward:

US Persons: Citizens, permanent residents, or corporate entities incorporated under the laws of the United States of America, as defined under Regulation S of the Securities Act of 1933;
Sanctioned Entities: Any individual, jurisdiction, or entity designated on United Nations (UN), United Kingdom (OFSI), European Union, or United States (OFAC) sanctions lists;
Prohibited Jurisdictions: Any country or administrative region where the distribution, licensing, or utilization of digital asset derivative software is contrary to local statutory legislation.

The User certifies that access from their IP address, jurisdiction, and legal domicile complies fully with applicable domestic regulations.

7. Intellectual Property Rights & Commercial Confidentiality

All source code, proprietary algorithms (including the DMNE and LME mathematical logic), interface layouts, architectural telemetry, documentation, and design assets are the exclusive intellectual property of Aethelis Ltd and its licensors. Unauthorized decompilation, reverse engineering, unauthorized mirroring, scraping, or redistribution of proprietary trading models is strictly prohibited and subject to legal prosecution under UK and international copyright treaties.

8. Data Privacy & Zero-Marketing Telemetry Policy

Aethelis Ltd maintains an uncompromising privacy standard. We do not integrate third-party advertising pixels, behavioral tracking trackers, or telemetry brokers.

These terms, disclaimers, and any non-contractual obligations arising out of or in connection with them shall be governed by, and construed exclusively in accordance with, the laws of England and Wales.

Any dispute, controversy, proceedings, or claim arising between the User and Aethelis Ltd shall be submitted to the exclusive jurisdiction of the competent Courts of London, England.
